Terms of service

What I promise,
and what I
won’t promise.

These terms cover your use of hivisdigital.ca and the general terms that apply when you hire HiVis Digital: a website (HiVis Launch), the HiVis Blueprint, or Google Business Profile management, local SEO and Google and Meta ads management on a CORE, PLUS or PRO retainer.

Please read them before you hire me. By using the Site, sending the form or hiring me, you agree to these terms. If you don’t agree, please don’t use the Site or my services.

Paid work runs on the one-page agreement published on this site, with what you ordered and the start date filled in at the bottom. Where these terms and your signed agreement conflict, the agreement wins.

The ledger

Every clause is one
of three things

Tap a card to filter the document by what a clause actually does to you. Most terms pages hide this distinction. This one puts it first.

Commit6 sections

I commit to this

Things I’m bound to do: month to month, everything in your name, one client per trade per town, your customers’ calls kept in your account, and your privacy.

No promise5 sections

I don’t promise this

The honest limits: no promised position on Google, call count or revenue, no liability for platform changes, and a capped liability figure.

Ground rules9 sections

Ground rules

How the relationship works: who I am, the Blueprint, fees and ad spend, what I need from you, and which law applies.

The number most people miss

My total liability is capped at the fees you paid me in the 3 months before the loss

It’s stated plainly here rather than buried in Section 15, because it’s the term that matters most if something goes wrong. Fraud, fraudulent misrepresentation and wilful misconduct are excluded from that cap. Those liabilities are not limited.

01

Who I am

HiVis Digital is a sole proprietorship owned and run by Oleksandr Savchenko in Prince George, British Columbia, Canada. I work with Trades businesses across Canada, remotely by default and in person in Prince George. In these terms, “I”, “me” and “my” mean Oleksandr Savchenko, doing business as HiVis Digital. “You” means any person or business that uses the Site or hires me. “The Site” means hivisdigital.ca.

Ground rule

One person, sole proprietor, Prince George.

02

The two-line reply and the HiVis Blueprint

If you send me your Google Business Profile link, I reply with whether I think I can help. That reply costs nothing, carries no obligation on either side and does not make you a client. It is my honest read of what I see, not a promise of results. I may decline to look further, for example when I already work with a business in your trade in your town.

The HiVis Blueprint is a paid, written plan: a profile audit, a competitor map for your trade in your town, a keyword and service-area list, and what to fix first, in order. It costs $297. Once it is paid, it is yours to use with anyone, including someone who isn’t me, and its full price is credited against a HiVis Launch ordered within 90 days.

Ground rule

The two-line reply is free and binds nobody. The Blueprint is paid, and yours to keep.

03

Services and the written agreement

The services are HiVis Launch (the website build), the HiVis Blueprint, and the CORE, PLUS and PRO retainers, which cover Google Business Profile management, local SEO and, on PRO, Google and Meta ads management. Add-ons are on the price list.

The Site describes what I sell and what it costs, but it is not itself a contract for that work. Paid work runs on the one-page agreement published on the Site, with your business, your trade and town, what you ordered and the start date filled in at the bottom. If these terms and your signed agreement conflict, the signed agreement controls for that work.

Ground rule

The signed agreement always beats this page.

04

Month to month, and how to leave

CORE, PLUS and PRO are month to month. You or I can end a retainer with 30 days’ written notice, and an email is enough. There is no cancellation fee and no clause that renews you into a new term. You pay for the notice period and for work already done, and nothing after that.

HiVis Launch and the Blueprint are one-time invoices, not subscriptions. If a Launch is stopped part way, you keep what is built and I refund the fee for the work not done. Moving between tiers is a sentence in an email.

When a retainer ends, my manager access to your accounts is removed and everything keeps working, because it is already in your name (Section 06).

I commit to this

30 days’ written notice, no fee, no auto-renewal. If I don’t earn the next month, you leave.

05

Fees and ad spend

Prices are published on the price list in Canadian dollars. I don’t charge GST, HST or any other sales tax, so each invoice is the listed price. The price that applies to your work is the published price on the day you sign, as listed in the prices clause of your agreement. If I change my prices, yours stay the same until I give you 30 days’ written notice, and you can end the agreement within that time.

Ad spend is not part of my fees. You pay it from your own card, directly to Google and Meta, in ad accounts opened in your name. I never handle it, never mark it up and never charge a percentage of it. For PRO I recommend a minimum ad budget of $1,000 a month; you set the budget and can change it. I am not responsible for amounts Google, Meta or other platforms charge you, changes to their prices, or costs you take on directly with them.

Fees are payable as invoiced unless your agreement says otherwise. An unpaid invoice may pause the work until it is paid, but nothing is switched off or taken from you. Fees for work already done are not refundable, because that time has been spent on your business.

Ground rule

Flat fees. Ad spend goes from your card to Google and Meta; I never touch it. Work already done is not refundable.

06

You own the accounts and the work

Your domain, hosting, WordPress site, Google Business Profile, Google Ads and Meta ad accounts and call-tracking numbers are opened in your name on day one, or moved into your name during the build. I am added as a manager, never as the primary owner. If you leave, nothing breaks.

Content, photos and logos you send me stay yours. The site and the content I create for you become yours when the invoice for that work is paid. I keep my own know-how, methods and general templates, without your content or branding, and may use them in other work.

The site I build carries a small “Site by HiVis Digital” link in its footer unless you ask me to remove it. Anywhere else, I name you or show your project as a case study only with your OK.

I commit to this

Everything is in your name from day one. I am a manager on your accounts, never the owner.

07

One client per trade per town

While your Launch is being built or your retainer is running, I will not take on a competing business in your trade in your town. Your signed agreement names the trade and the town it covers, so there is no argument later about what counts.

The same rule is why I may turn an enquiry down: if I already work with someone in your trade in your town, I’ll tell you so.

I commit to this

I will not take your competitor in your town.

08

Call tracking, recordings and the report

Retainers include call tracking and recording and a one-page monthly report: calls, where each came from, what it cost and which ones booked. The tracking numbers and the recordings sit in a call-tracking account in your name. I access it as a manager to build the report and to show you which calls booked.

I set up tracked lines to play a short notice telling callers the call may be recorded, before any recording is made. You can ask me to switch recording off on any number at any time.

Your customers’ information stays your responsibility: your site’s privacy policy should mention call tracking and recording, and requests from your customers about their information go to you. I’ll help with the wording and the answers. How I handle that information is set out in the privacy policy.

I commit to this

Your customers’ calls are recorded in your account, with notice, and used for your report only.

09

What I need from you

The work only pays off if you do your part too. You agree to:

  • Answer the phone, or call back the same day. Marketing cannot fix a phone nobody answers.
  • Send the content, photos and access I ask for. The 21 working days for a HiVis Launch start when your content is in.
  • Tell me the truth about your business: licences, insurance, WorkSafeBC clearance, service areas, prices and reviews.
  • Only send me photos, logos and text you have the right to use.
  • Pay invoices, and your ad spend, on time.

I will not write fake reviews, buy reviews or post anything that breaks Google’s or Meta’s rules, even if asked.

Ground rule

Answer the phone, send the content, tell me the truth, pay on time.

10

No promise of results

Marketing results depend on many things outside my control: your market and your competitors, your prices and budget, how fast you answer the phone, the quality of your own work, the season, and the rules, algorithms and prices of Google, Meta and other platforms.

I do not and cannot promise or warrant any specific result, including a position on Google Maps or in search results, page one, the number of calls or enquiries, booked jobs, revenue or return on ad spend. Numbers, examples, timelines or projections on the Site or in conversation are illustrative, not promises. Past results do not mean future results will be the same.

Case studies and client quotes on the Site, such as Epic Pavement, are real, but they reflect that client’s business, market and timing. They are not typical or average, and your results will differ.

What I do commit to: doing the work with skill and care, in good faith, and reporting honestly what it produced in calls and booked jobs. If it isn’t working for you, month to month means you can stop.

I don’t promise this

The most important clause on the page. I commit to the work and an honest report, not to a number.

11

Third-party platforms and links

My services run on platforms I don’t own or control, including Google (Search, Maps, Business Profile, Ads and Local Services Ads), Meta (Facebook and Instagram), and call-tracking, hosting and domain providers. They can change their algorithms, policies, features, eligibility rules or prices, or suspend, restrict or remove accounts, at any time and without notice. Any of that can affect results. Local Services Ads, for example, are only open to some trades in Canada.

Because the accounts are in your name, you also agree to each platform’s own terms. I am not liable for the actions, decisions, outages or errors of third-party platforms, including account suspensions, changes in where you appear, policy enforcement or loss of access, except to the extent directly caused by my own gross negligence or wilful misconduct.

The Site also links to other websites for convenience. A link is not an endorsement, and visiting those sites is at your own risk and under their terms.

I don’t promise this

If Google changes its rules or suspends an account, that is outside my control, unless I caused it through gross negligence.

12

Using the Site

All content on the Site, including text, design, layout, graphics and the HiVis Digital name and logo, is mine or used under licence, and is protected by copyright and other laws. You may not copy, republish or reuse any part of it for commercial purposes without my written permission.

When using the Site, you agree not to:

  • Use it for anything unlawful or in breach of these terms
  • Try to get unauthorized access to the Site, its servers or connected systems
  • Scrape or harvest content or data by automated means without permission
  • Send false, misleading or fraudulent information through any form
  • Send spam, malware or any harmful or disruptive code
  • Infringe anyone’s intellectual property or other rights

Ground rule

The Site’s content is mine. The usual rules: don’t abuse the website.

13

Information, not professional advice

Articles, guides, The Map Pack report and general suggestions on the Site are general information. They are not legal, financial, accounting or tax advice tailored to your situation, and you should not rely on them as such. You are responsible for your own business decisions.

I don’t promise this

Blog posts and the newsletter are general information, not legal, financial, accounting or tax advice.

14

Disclaimer of warranties

To the maximum extent permitted by law, the Site, the free two-line reply and any free content are provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose or non-infringement. I do not warrant that the Site will be uninterrupted, error-free or secure, or that its content is accurate or complete.

I don’t promise this

The Site is provided as is. Standard, and the law expects it stated plainly.

15

Limitation of liability

To the maximum extent permitted by law, I will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business or goodwill, arising out of or related to your use of the Site or my services, even if I have been told such damages are possible.

To the maximum extent permitted by law, my total liability for all claims arising out of or related to my services will not exceed the total of the fees you paid me in the three months before the event giving rise to the claim. That is the same limit as the liability clause of the one-page agreement.

If you only use the Site and have not paid me for any work, the Site is provided as is (Section 14), and nothing is owed to you for using it.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, fraudulent misrepresentation or wilful misconduct.

I don’t promise this

The cap: the fees you paid me in the 3 months before the loss, the same as the agreement. Fraud and wilful misconduct are not capped.

16

Indemnification

You agree to indemnify me and hold me harmless from any claims, damages, losses, liabilities and reasonable expenses, including legal fees, arising out of or related to your breach of these terms, your misuse of the Site, any content or materials you provide to me, the claims you make about your own business, or your breach of any law or anyone’s rights.

Ground rule

If you breach these terms or send content that isn’t yours to use, the costs that follow are yours.

17

Privacy

Your use of the Site and my services is also governed by my privacy policy, which explains how I collect, use and protect personal information, including your customers’ calls. By using the Site, you consent to the practices it describes.

I commit to this

Covered in full in the privacy policy, including that I don’t sell your data.

18

Governing law and disputes

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict of law rules. If a dispute comes up, you and I both agree to try first to settle it directly and in good faith. If that doesn’t work, the courts of British Columbia have jurisdiction and you agree to that venue, except where the law gives you the right to bring a claim elsewhere.

Ground rule

BC law, BC courts, and a good-faith conversation first.

19

General terms

Entire agreement

For paid work, the signed one-page agreement is the whole agreement between you and me. These terms and my privacy policy cover your use of the Site, and replace any earlier understanding on that subject.

Severability

If any part of these terms is found unenforceable, the rest stays in full force.

No waiver

If I don’t enforce a provision, that is not a waiver of my right to enforce it later.

Assignment

You may not assign your rights or obligations under these terms without my written consent. I may assign these terms if my business is sold or reorganized.

Eligibility

By using the Site or hiring me, you confirm that you are at least the age of majority where you live and, if you act for a business, that you have the authority to bind it to these terms.

Access to the Site

I may suspend or end your access to the Site at any time, without notice, if you breach these terms or use the Site in a way that could harm me, the Site or others.

Force majeure

I am not liable for delay or failure caused by events beyond my reasonable control, including internet or hosting outages, platform changes or suspensions, cyberattacks, power failures, wildfire and other natural events, or acts of government.

Survival

Provisions that by their nature should continue after these terms end, including ownership, no promise of results, disclaimers, limitation of liability, indemnification and governing law, survive.

Changes to these terms

I may update these terms when my services or the law change, and I’ll change the “Last updated” date at the top of this page when I do. A change does not alter a signed agreement unless you and I both agree in writing. Your continued use of the Site after an update means you accept the revised terms.

Ground rule

The standard machinery: severability, assignment, force majeure, survival, and how these terms change.

20

Contact

Questions about these terms? Contact me through the contact form. It comes straight to me, and I reply the same business day.

Questions about these terms?

Ask before you sign, not after.

If a clause here worries you, say so. Paid work runs on the one-page agreement, and that is the place to settle it.
